In short. AgentShorts is an AI video creation tool that runs on prepaid credits. You own the videos you generate and you are responsible for what you publish with them. Credits already spent are not refundable; unauthorized charges and failures on our side are. This summary does not replace the full text.
1. Who we are and what you are agreeing to
These Terms and Conditions (the "Terms") form a binding agreement between SOFTWZI, S.A. de C.V. ("AgentShorts", "we", "us"), tax ID SOF200527QK2, with registered address at Celaya, Guanajuato, and the individual or entity that accesses or uses the platform available at https://agentshorts.app (the "User", "you").
By creating an account, accessing the service or making a payment, you confirm that you have read, understood and accepted these Terms, the Privacy Policy and the Refund Policy, which form an integral part of this agreement. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a company or organization, you represent that you have authority to bind it, and "you" refers to that entity.

3. Eligibility and account
Minimum age. The Service is intended solely for individuals aged 18 or older. It is not directed to minors and we do not knowingly collect their data. If we find that an account belongs to a minor, we will close it.
Registration. Access is provided through Google Sign-In. You must provide accurate information and keep it up to date. A single person or entity may not maintain multiple free accounts in order to obtain additional trial credits.
Security. You are responsible for activity carried out from your account and for safeguarding your Google credentials. Notify us immediately at support@agentshorts.app of any unauthorized use.
Territorial restrictions. You may not use the Service if you are located in a country subject to applicable embargoes or sanctions, or if you appear on a restricted-party list.
4. Description of the Service
AgentShorts lets you configure AI agents that write scripts, generate images and clips, synthesize voice, add music and subtitles, render vertical videos and, optionally, publish and measure them on Connected Platforms according to the schedule you define.
Generative nature. Outputs are produced by third-party artificial intelligence models. These models are probabilistic: they may generate content that is inaccurate, incomplete, biased, inappropriate or similar to existing works. Outputs do not constitute professional advice of any kind. You are solely responsible for reviewing, editing and validating every Output before publishing, distributing or commercially exploiting it.
No exclusivity of results. Because of how these models work, other users may receive Outputs that are identical or similar to yours from comparable Inputs. We do not guarantee that any Output is unique or that it qualifies for copyright protection in your jurisdiction.
Service evolution. We may add, modify or withdraw features, model catalogs, voices, templates or effects. If we permanently withdraw a material feature included in your paid plan, we will notify you at least 30 calendar days in advance and you may cancel under the Refund Policy.
Beta features. Features labeled beta, preview or experimental are provided without any warranty and may change or disappear without notice.
5. Credits, plans and billing
5.1 How credits work
Use of the Service is charged in Credits. Each generative operation — script, image, clip, voice-over, transcription, rendering and storage — consumes an amount of Credits shown in the interface before you confirm the generation wherever technically possible.
When you request a video, an estimated amount of Credits sufficient to cover it is reserved.
Each step draws its actual cost against that reservation.
On completion, any unused remainder is released back to your balance.
If a video fails for reasons attributable to the Service, the entire reservation is released.
Credits are an internal accounting unit. They are not currency, have no monetary value outside the Service, do not accrue interest, are not transferable between accounts and are not redeemable for cash, except as provided in the Refund Policy or where required by law.
5.2 Trial credits
New accounts receive an initial allocation of trial Credits with no card required. These Credits are promotional, personal, limited to one allocation per account holder, may expire and are in no case refundable or redeemable for cash.
5.3 Subscriptions and automatic renewal
Subscription plans are contracted for monthly or annual periods and renew automatically at the end of each period, charging the payment method on file, until you cancel.
When you subscribe:
You are clearly informed in advance of the exact amount, frequency and date of the charge, and you must give express, informed consent to recurring charges before the first charge is made.
We will email you at least five (5) days before each automatic renewal, stating the amount and date, so you can cancel without any penalty.
You can cancel immediately from the billing portal in your account, in the same number of steps as sign-up or fewer, with no phone calls, no forced retention flow and no cancellation penalties or fees.
Credits granted by a subscription are issued at the start of each period and expire at the end of that period. Separately purchased Credits (top-ups) do not expire while your account remains active. Spending draws first on the Credits that expire soonest, so you do not lose balance because of spend order.
5.4 Top-ups
You may purchase additional Credit packs at any time. These are one-time payments, credited once payment is confirmed, and governed by the Refund Policy.
5.5 Prices, currency and taxes
Current prices are published at https://agentshorts.app/pricing. Unless stated otherwise, prices are quoted and charged in United States dollars (USD). Your bank may apply currency conversion or international transaction fees that we neither control nor refund.
Prices exclude taxes unless expressly stated. Applicable indirect taxes (VAT, sales tax or others) will be added based on your tax residence. You are responsible for providing accurate tax information; local tax documents (such as the Mexican CFDI) will be issued only where there is a legal obligation to do so and you have provided the required details within the applicable period.
We may change prices. Changes do not affect a period already paid for and will be notified at least 30 calendar days before they apply to your next renewal.
5.6 Payment methods
Payments are processed through Stripe. We do not store full card numbers. By paying, you also accept the processor's terms. You authorize us to charge the payment method on file for amounts due.
5.7 Failed payments and suspension
If a charge is declined, we may retry it under the processor's logic. We will notify you and you will have a grace period to update your payment method. If the period passes without resolution, we may suspend access to paid features and stop scheduled generations. Unspent top-up Credits are preserved.
5.8 Refunds
Refund terms are set out in the Refund Policy, which forms part of these Terms.
6. Your content
You retain ownership of your Inputs. We claim no ownership over them.
You grant us a worldwide, non-exclusive, royalty-free license, limited to operating the Service, to host, store, reproduce, transmit, technically adapt and transmit to our providers your Inputs and Outputs, for the sole purpose of providing the Service, executing your instructions, publishing to the Connected Platforms you authorize, complying with the law and maintaining platform security. This license ends when you delete the content or close your account, except for residual copies in backups that are purged within the periods described in the Privacy Policy.
We do not use your User Content to train artificial intelligence models, whether our own or third parties', and we contract service tiers with our providers that exclude such training. Nor do we use it for advertising or sell it.
We do not display it publicly or use it for promotion without your prior authorization. If we would like to feature your work, we will ask you separately.
Your representations. By submitting Inputs you represent and warrant that you hold all necessary rights, licenses, consents and authorizations, including — where applicable — the express consent of any person whose image, voice or likeness appears in the material, and that its use in the Service infringes no third-party rights or applicable law.
7. Generated content (Outputs)
To the maximum extent permitted by applicable law, and provided your account is current on payment and you have not breached these Terms, we assign to you all rights we may hold in the Outputs generated by your account, for any purpose including commercial use, worldwide and in perpetuity.
You should be aware that:
Legal protection for AI-generated content is uncertain. In several jurisdictions — including the United States — material produced entirely by a machine may not be eligible for copyright protection. We do not guarantee that you can register, protect or prevent third-party use of an Output.
Outputs are subject to the terms of the third-party models used to produce them. Some models or voices in the catalog impose additional restrictions, which are indicated in the interface where they exist. By choosing a model, you accept its conditions.
You are responsible for how you use the Outputs, including fact-checking, compliance with the rules of the platforms where you publish them and, where the law or those platforms require it, disclosing that the content was generated or altered using artificial intelligence.
8. Platform-provided assets
The Service includes libraries of music, templates, effects, typefaces and other elements ("Assets"). We grant you a worldwide, non-exclusive, non-transferable and non-sublicensable license to incorporate them into your videos and distribute them as part of those videos, including commercially, and that license survives for videos already produced even if you close your account.
You may not: distribute, resell, sublicense or make Assets available on a standalone basis or outside a video; register them or claim ownership of them; submit them to content identification systems (Content ID or equivalent) in a way that asserts rights over them against other users; or use them to train artificial intelligence models.
Some Assets come from third-party libraries and may require attribution. Where that is the case, the interface will indicate it and you must comply.
9. Acceptable use
You must comply at all times with the Acceptable Use Policy in Annex A. Failure to do so is a material breach of these Terms.
10. Connected Platforms
You may link third-party accounts to publish and measure your videos. In doing so:
You authorize us to access those accounts only with the minimum permissions necessary for the features you request.
You agree to comply with each platform's terms. For YouTube, the Service uses YouTube API Services, so you agree to the YouTube Terms of Service and are subject to the Google Privacy Policy. You can revoke our access at any time from your Google account permissions page or from the connections section of AgentShorts.
You acknowledge that we do not control those platforms: they may change their rules, limit API quotas, reject a publication, remove a video or suspend your account. We are not responsible for those decisions or for Credits spent on a video the platform later rejects.
You are responsible for ensuring published content complies with each platform's policies, including any obligation to disclose synthetic or altered content.
11. AgentShorts intellectual property
The Service, its software, design, trademarks, trade names, logos, documentation and all derived improvements are the property of SOFTWZI, S.A. de C.V. or its licensors and are protected by applicable law. We grant you only a limited, revocable, non-exclusive and non-transferable license to use the Service under these Terms. No other rights are granted.
If you send us feedback, ideas or suggestions, we may use them freely and without compensation.
12. Copyright and takedown procedure
We respect intellectual property and expect the same from our users.
If you believe content hosted on the Service infringes your rights, send a notice to softwzi2020@gmail.com including: (i) your contact details; (ii) identification of the allegedly infringed work; (iii) identification and location of the material complained of; (iv) a statement of good-faith belief that the use is unauthorized; (v) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the rights holder's behalf; and (vi) your physical or electronic signature.
We will remove or disable access to the relevant material, notify the affected user and process counter-notices that meet the same requirements. We maintain a repeat infringer account termination policy.
13. Service availability
We work to keep the Service available, but we do not guarantee uninterrupted availability or specific generation or rendering times, unless a written service level agreement is in place. We may perform scheduled maintenance and apply reasonable concurrent usage limits to protect platform capacity; those limits may vary by plan.
14. Suspension and termination
You may cancel your subscription or delete your account at any time from the application or by writing to support@agentshorts.app.
We may suspend or terminate your access, in whole or in part, if: (i) you breach these Terms or Annex A; (ii) there is a security, fraud or chargeback risk; (iii) required by an authority or by law; or (iv) your use compromises the integrity of the Service or of third parties.
Except in cases of serious breach, imminent risk or legal obligation, we will notify you before suspending and give you an opportunity to cure.
Effects. On termination: your right to use the Service ends; unspent Credits are extinguished without compensation, except as provided in the Refund Policy or where termination is attributable to us; and you retain rights already acquired in Outputs produced before termination. You will have 30 calendar days to download your content before deletion, unless termination is due to unlawful use.
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, quality, originality or commercial results.
We do not warrant that Outputs will be accurate, original, non-infringing, fit for any particular purpose, approved by a third-party platform, or that they will generate audience, revenue or monetization.
Nothing in this section limits non-waivable statutory warranties available to you as a consumer.
16. Limitation of liability
To the maximum extent permitted by law:
We will not be liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, data loss, loss of audience, demonetization, suspension of third-party accounts or reputational harm.
Our aggregate liability arising out of or relating to the Service will not exceed the greater of: (a) amounts actually paid by you to AgentShorts in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred US dollars (USD $100).
These limitations do not apply to willful misconduct, fraud, gross negligence, death or personal injury, or any liability that applicable law does not permit to be limited. If your local law does not allow some of these exclusions, they will apply to the maximum extent permitted and the remainder will continue in force.
17. Indemnification
You agree to defend, indemnify and hold harmless us, our affiliates, officers and employees from claims, damages, losses and reasonable expenses (including attorneys' fees) arising from: (i) your User Content; (ii) your use of the Outputs; (iii) your breach of these Terms, Annex A or the law; or (iv) infringement of third-party rights, including rights of publicity, voice, honor or intellectual property.
This obligation does not apply to the extent the claim arises from our own unlawful or negligent conduct.
18. Force majeure
We will not be liable for failures caused by events beyond our reasonable control, including failures of AI model providers or cloud infrastructure, power or telecommunications outages, cyberattacks, regulatory changes, natural disasters or labor disputes.
19. Governing law and dispute resolution
These Terms are governed by las leyes de los Estados Unidos Mexicanos, without regard to its conflict-of-law rules.
Informal resolution first. Before bringing any action, you agree to contact us at softwzi2020@gmail.com and spend thirty (30) calendar days seeking a good-faith resolution. Most disputes are resolved this way.
General jurisdiction. Except as provided in sections 19.1 and 20, the parties submit to the jurisdiction of los tribunales competentes de Celaya, Guanajuato, waiving any other venue that might apply.
19.1 Arbitration and class action waiver (users in the United States)
If you reside in the United States, you and AgentShorts agree that any dispute not resolved informally will be submitted to individual, binding arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules and governed by the Federal Arbitration Act. Arbitration will be conducted in writing or by videoconference unless the arbitrator decides otherwise.
Class action waiver. Claims may be brought only on an individual basis. Neither you nor we may act as a plaintiff or class member in any class or representative action.
Exceptions. Either party may: (i) bring qualifying claims in small claims court; and (ii) seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
Opt-out right. You may opt out of this arbitration clause by sending notice to softwzi2020@gmail.com within thirty (30) days of accepting these Terms, stating your name and account email. Exercising this option does not affect any other aspect of your relationship with us.
20. Consumer rights
Nothing in these Terms limits, excludes or modifies non-waivable rights granted to you by the consumer protection laws of your country of residence. Where these Terms conflict with a mandatory consumer protection rule, that rule prevails.
Mexico. If you contract as a consumer, you have the rights of the Federal Consumer Protection Law, including clear prior information about recurring charges, advance notice of automatic renewal, immediate cancellation without penalty, and recourse to the Federal Consumer Protection Agency (PROFECO), whose conciliation jurisdiction we recognize. You may choose to bring a dispute before the courts of your domicile.
Latin America. If you reside in Argentina, Brazil, Chile, Colombia, Costa Rica, Ecuador, Peru, Uruguay or another country in the region, you may exercise the rights and approach the consumer authorities provided under your local law, including — where available — the ability to sue in the courts of your domicile.
United States. Residents of California and other states with automatic renewal laws retain the rights those laws confer, including renewal notices and simple cancellation mechanisms.
21. Changes to the Terms
We may modify these Terms. If a change is material — for example, regarding pricing, liability, content rights or dispute resolution — we will notify you by email and in-app at least thirty (30) calendar days before it takes effect.
If you do not accept the change, you may cancel your subscription before that date without penalty; material changes do not apply retroactively to a period already paid for. Continued use of the Service after the effective date constitutes acceptance. Minor changes or corrections take effect on publication.
22. General provisions
Assignment. You may not assign this agreement without our prior written consent. We may assign it in connection with a merger, acquisition or sale of assets, with notice to you.
Severability. If a clause is held invalid, the remainder stays in force and that clause will be interpreted as closely as possible to its original intent.
No waiver. Failure to exercise a right does not constitute a waiver of it.
Entire agreement. These Terms, together with the Privacy Policy, the Refund Policy and Annex A, constitute the entire agreement between the parties regarding the Service.
Relationship of the parties. No employment, partnership, agency or joint venture relationship is created.
Notices. We will notify you at the email associated with your account or through in-app notices. Our notices are deemed received on the business day following dispatch. You may notify us at softwzi2020@gmail.com.
Language. The Spanish version of these Terms is the governing version. Translations are provided for convenience; in case of discrepancy, the Spanish text prevails.

Annex A — Acceptable Use Policy
This policy forms part of the Terms. It applies to Inputs, to Outputs and to what you publish using the Service. It may be updated when our providers' rules or the destination platforms' rules change.
A.1 Prohibited content
You may not use the Service to create, store or distribute content that:
Is unlawful under applicable law, or that promotes, facilitates or instructs the commission of crimes.
Involves minors in any sexual, suggestive or exploitative context. Such conduct is reported to the competent authorities without prior notice and results in immediate, permanent account termination.
Is pornographic or sexually explicit, or that sexualizes real people without their consent.
Promotes hate, violence, harassment or discrimination based on race, ethnic or national origin, gender, gender identity or expression, sexual orientation, religion, disability, age or social status.
Glorifies self-harm, suicide or eating disorders.
Constitutes misinformation with potential for serious harm, in particular regarding elections, public health or emergencies.
Infringes intellectual property rights, trade secrets or third parties' personal data.
Do not generate or publish images, videos or voices depicting an identifiable real person without their prior, express and demonstrable consent.
Creating deepfakes, impersonating a person, brand or institution, or attributing statements or conduct to someone falsely is prohibited.
Do not clone or imitate the voice of a real person without their express authorization. Catalog voices are synthetic and their use is governed by the relevant provider's conditions.
Use of the likeness or voice of public figures, even satirically, must comply with publicity and personality rights law in the jurisdiction of publication.
A.3 Use of the Service and infrastructure
You may not:
Reverse engineer, decompile, extract models, weights or system prompts, or attempt to circumvent technical limits, safety filters or usage controls.
Automate access through scraping, bots or unauthorized tools, or create accounts in bulk or automatically.
Share, resell or sublicense access to your account, or offer the Service to third parties as your own, without a written reseller agreement.
Use Outputs or Assets to train, fine-tune or benchmark competing artificial intelligence models.
Deliberately overload the infrastructure, interfere with its operation or attempt unauthorized access.
A.4 Destination platforms
Comply with the rules of every platform where you publish, including spam policies, deceptive practices policies and synthetic or altered content disclosure requirements on YouTube and equivalents.
Do not generate mass volumes of repetitive or low-value content in order to manipulate recommendation or monetization systems.
Do not use the Service to operate coordinated or inauthentic account networks.
A.5 Enforcement and consequences
We apply automated controls and proportionate manual review where there are reasonable indications of a breach. Depending on severity, we may: issue a warning, remove content, limit features, suspend the account or terminate it permanently, and report to the competent authority where the law requires it.
Terminations for breach of this policy do not give rise to a refund, unless required by law.
If you believe action was taken in error, write to support@agentshorts.app; we will review the case and respond.
